TVF Materials: Legal Terms & Conditions

Please read the following terms and conditions regarding the use of True Volunteer Foundation (TVF) Materials. TVF Materials relate to all information, documents, presentations, artwork, text, films, videos, audio, or pictures (collectively, "Materials") contained on the TVF Web site or sent out by TVF. These materials are protected by copyright laws. By reading, viewing, downloading or using any information contained in these materials, you agree to be bound by these terms and conditions that follow. These materials are the property of True Volunteer Foundation Ltd, a company incorporated under the laws of England and Wales (registered number 5338347) and having its registered office in 75 Park Lane in London. TVF is also a UK registered charity (registered number 1113789), an Organisational Member of the Institute of Fundraising (Z62539), a registered member of the Fundraising Standards Board and a registered member of the National Council for Voluntary Organisations (6566). For the purpose of these terms and conditions, the term “TVF” shall include all of its subsidiaries in which TVF holds a shareholding representing at least 10% of the issued share capital of that company.

The section headings of these terms and conditions are for ease of reference only and shall not be admissible in any action to alter, modify or interpret the contents of any section. All matters relating to your access and use of these Materials shall be governed by English law. A finding by a court of competent jurisdiction that a provision of these terms and conditions is invalid, illegal or unenforceable shall not affect any other part of these terms and conditions and such provision shall be construed by limiting it to the extent necessary so as to be enforceable or, if such provision cannot be so limited, then these terms and conditions shall be construed as if they had never contained such provision. The waiver by TVF of any provision of these terms and conditions on any particular occasion and upon any particular circumstances shall not operate as a waiver of such provision on any other occasion or upon any other circumstances. Some statements made by TVF might be subject to alteration and future variation.

YOU AGREE TO INDEMNIFY, DEFEND AND HOLD TVF HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES OR EXPENSES (INCLUDING REASONABLE LEGAL FEES AND COSTS) ARISING OUT OF, BASED ON OR IN CONNECTION WITH YOUR ACCESS TO AND/OR USE IN THESE MATERIALS. IN NO EVENT SHALL TVF OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS OR REVENUES, COSTS OF REPLACEMENT GOODS, LOSS OR DAMAGE TO DATA ARISING OUT OF THE USE OR INABILITY TO USE THESE MATERIALS OR ANY TVF SERVICES, DAMAGES RESULTING FROM USE OF OR RELIANCE ON THE INFORMATION IN THESE MATERIALS, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR OTHERWISE EVEN IF TVF OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

For the avoidance of doubt, TVF shall have no liability for:

1. Any loss or injury caused, in whole or in part, by its actions, omissions, or negligence, or for contingencies beyond its control, in procuring, compiling, or delivering the information;
2. Any errors, omissions, or inaccuracies in the information regardless of how caused, or delays or interruptions in delivery of the information; or
3. Any decision made or action taken or not taken in reliance upon the information furnished hereunder.

TVF makes no warranty, representation or guaranty as to the content, sequence, accuracy, timeliness or completeness of the information or that the information may be relied upon for any reason. TVF makes no warranty, representation or guaranty that the Information will be uninterrupted or error free or that any defects can be corrected.

Any reproduction, distribution, recording, publishing or public exhibition of these Materials, in whole or in part, or the divulgence of any portion of its contents, without the prior written consent of the Company, is strictly prohibited. Should these Materials (through the act or default of the recipient) reach other persons without our written consent, the recipient will indemnify the Company against any loss or damage or other liabilities (including all costs) that they may suffer as a result. Any TVF consent given for the use of these Materials will need to be done in writing and will always be subject to the use of clearly legible TVF Copyright notice.

The trademarks, logos, and service marks (the “Marks”) displayed in these Materials are the property of TVF or other third parties. You are not permitted to use the Marks without the prior written consent of TVF or such third party which may own the Marks. Trademarks of TVF include but are not limited to the names and logos of TVF, its charity brands, namely LifeCycle, GreenCycle, PhoneCycle, SeniorCycle and AnimalCycle and the terms True Volunteer and Pay to Work.

All information in these Materials including, without limitation, names, logos, images, graphics, software and other elements making up the TVF Materials are protected by copyrights and other intellectual property rights owned by TVF or by other parties that have licensed their materials to TVF. TVF's innovative services and its specially developed systems, business processes and technologies are the subject of a number of patents under investigation. Any party wishing to copy, derive or develop similar services or business processes is advised to contact TVF in advance of so doing to ensure non-infringement of TVF's intellectual property or to discuss a license to use TVF's services, business processes and technology. For the avoidance of doubt, the full contents of these Materials are unless otherwise stated are the copyright works of TVF. Please note the music used on many TVF Films in many cases does not belong to TVF and TVF has gained a royalty free license or TVF has borrowed such audio from the original owners. Likewise, some videos have been borrowed from Partners that TVF have provided grants to.

You may view, copy and print text and graphics incorporated in these Materials subject to the following: (a) the Materials may be used solely for personal, informational and non-commercial purposes; and (b) the Materials may not be modified or altered in any way. You may not download, upload, copy, print, display, perform, reproduce, publish, license, post, transmit or distribute any information from these Materials in whole or in part without the express authorisation of TVF. You may not remove any copyright or other proprietary notices contained in the Materials. TVF reserves the right to revoke the authorisation to view, download and print the Documents available in these Materials at any time and any such use shall be discontinued immediately upon written notice from TVF.

You agree that TVF may, in its sole discretion might request that the Materials be returned to TVF and all copies, electronic and paper, be disposed of.

The information contained in these Materials may contain projections or other forward-looking statements relating to future events, future products or the future performance of TVF. Such statements are only predictions and subject to certain risks and uncertainties. Consequently, actual events or results may differ materially. These risks and uncertainties are described from time to time in TVF’s filings to Companies House or the Charity Commission. In addition, some of the statements made may refer to work in progress, events which are about to happen and are therefore still pending and subject to change.

Please note that TVF Red documents are governed by a special NDA. If you have received a RED Document and have not signed and returned a Special NDA, please contact TVF immediately. A Red document will have the word “Red” in the document number in the main page and the document number will be on every page thereafter.
